Company Secretary

An opportunity has arisen for a company secretary to join our client in Kent.

Using expertise and a positive engagement and influencing style, the role will require to support the leaders of the Trust in governing it well.



To advise and support the CEO, Chair, Board of Directors, and Council of Governors on all aspects of regulation, corporate governance and effective business conduct for the organisation, ensuring the highest standards of probity and according to statutory and legislative requirements.

To liaise with the Executive Management Team, actively contributing to the management of the Trust and attend Trust Board and Executive Director Meetings.

Duration: Temporary (3 months ongoing)
Band: 8c
Location: Gillingham


Duties will include:
Facilitating the smooth operation of the Trust's formal decision-making and reporting machinery

Organising Trust Board and Council of Governors meetings along with those of their committees (e.g.

audit, remuneration, nomination committees etc.)

Ensuring that there is appropriate co-ordination and effective information flow between the Board, Council of Governors, their committees and Executive Team through maintaining business cycles, agenda planning etc

Formulating meeting agendas of the Board, committees and Council of Governors with the chairman, Trust Chair, Chief Executive and lead Executives (as appropriate) and advising management on content and organisation of reports or presentations for the meeting

Collecting, organising and distributing such information, documents or other papers for meetings

Ensuring that all meetings are minuted and that the minute books are maintained with certified copies of the minutes; and that action is taken on matters arising

Communicating Board/Committee decisions to those required to implement them, and ensuring that actions and tasks assigned are managed appropriately and to the required timetable, reporting back as required

Ensuring that the Trust Board and Council of Governors meetings and all Board/ Council committees are properly constituted and provided with clear terms of reference and performance reviewed regularly

Ensuring that an annual members' meeting is held in accordance with the requirements of the National Health Service Act 2006, Health and Social Care Act 2012 and the Foundation Trust's constitution.



Qualifications Educated to Master's degree level with relevant post graduate qualifications

Further evidence of; management/leadership training with demonstrable record of continuous professional development/ or membership of ICSA (Associate/Fellow)
Knowledge Advanced knowledge and understanding and practical application of regulatory compliance and corporate governance in the NHS

Good theoretical and practical knowledge of all relevant policy areas and sound knowledge of current Health Policy Knowledge and experience of NHS regulatory frameworks - CQC, NHS Improvement Foundation Trust governance framework

Extensive knowledge of board and committee processes and meetings governance

Knowledge of and practical application of sound processes for managing standards of business conduct (anti-bribery, management of conflicts of interest, hospitality, sponsorship etc)
Experience Significant experience as a company secretary or Trust Secretary at Board level or Associate Director level in an NHS organisation

Demonstrable experience of working with Chairs, Non-Executive Directors, Chief Executives and Council of Governors

A proven track record in delivering results in a complex environment

Project management
